- Corporate Paralegal
This position should track and maintain database of Company subsidiaries, affiliates and investments, including equity interest, entity structure, board and management committee slates and other relevant data; administer entity database, including inputting and revising data, serving as liaison with IT group, running reports and maintaining approval rights; form and maintain various types of entities, including maintaining entity records, minute books, annual board and shareholder resolutions, stock certificates and stock transfer documentation; act as liaison with corporate vendor that handles filings with Secretaries of State; maintain company records related to investment in other companies, including stock certificates and medallion guarantees; assist inside and outside counsel with merger and acquisition activity and with corporate restructurings; assist with securities laws filings, including preparation of exhibits; assist treasury department with preparing documentation necessary for bank, trading and other accounts; and assist with Hart-Scott-Rodino searches and filings.
